Welcome to LAYSOC Enterprise. These Terms and Conditions govern access, browsing, purchase, use of content, free trials, subscriptions, platform access, reports, downloads, and any other services offered through laysoc.com and related channels.

By accessing the website, requesting information, starting a free trial, purchasing a subscription, accessing the platform, downloading reports, or using any LAYSOC service, you agree to these Terms and Conditions, as well as our Privacy Notice.

Important note: LAYSOC provides strategic information, analysis, reports, prompts, signals, and tools to support business decision-making. Our content does not constitute legal, tax, financial, accounting, immigration, investment, or personalized professional advice.

By using our services, you confirm that you have read, understood, and accepted these Terms and Conditions. If you do not agree with them, you must refrain from using the website, starting a free trial, purchasing a subscription, or accessing the platform.

Acceptance may occur through use of the website, submission of forms, account creation, starting a free trial, payment of a subscription, access to content, downloading materials, or any other action that implies use of LAYSOC services.

3. Description of the service

LAYSOC is a strategic intelligence platform designed for business owners, entrepreneurs, teams, and professionals seeking to reduce information noise and make better decisions with processed information.

Our services may include, among others:

  • Weekly strategic analysis reports.
  • Market, business, technology, economic, or business behavior signals.
  • Ready-to-use artificial intelligence prompts.
  • PDF materials, downloadable documents, or digital resources.
  • Access to a platform, portal, or content repository.
  • Email communications with deliverables, updates, or notices.
  • Support related to accounts, access, subscriptions, or content.
  • Content directed to Latino business owners, especially in Mexico and the United States.

LAYSOC may modify, improve, replace, reorganize, or discontinue features, content, or formats whenever it considers it necessary to improve the service, correct errors, comply with applicable provisions, or maintain platform operations.

4. Eligibility and legal capacity

To use LAYSOC, you represent that:

  • You are of legal age under the applicable law of your country, state, or jurisdiction.
  • You have legal capacity to accept these Terms.
  • The information you provide is truthful, complete, up to date, and lawful.
  • You will use the services for lawful, professional, business, or informational purposes.
  • You will not use LAYSOC for fraudulent, illegal, misleading, abusive activities, or activities that affect the rights of third parties.

If you purchase or use LAYSOC on behalf of a company, you represent that you have sufficient authority to accept these Terms on behalf of that company.

5. Account, access, and credentials

To access certain content or services, it may be necessary to create an account, sign in through an external platform, or receive access through SamCart or another technology provider.

The user is responsible for:

  • Maintaining the confidentiality of their credentials.
  • Not sharing access with unauthorized third parties.
  • Updating their contact and billing information.
  • Notifying any unauthorized access or suspicious activity.
  • Using the platform in accordance with these Terms.

LAYSOC may suspend or restrict access when it detects misuse, breach of these Terms, fraud, security risk, rejected payments, unjustified chargebacks, or any conduct that affects the operation of the service.

6. Free trial

LAYSOC may offer a 7-day free trial or any other promotional period expressly indicated on the website, checkout, or corresponding commercial communication.

By starting a free trial, you agree that:

  • The trial is subject to the availability, conditions, and requirements indicated at the time of registration.
  • A valid payment method may be required to activate the trial.
  • At the end of the free period, the subscription may automatically convert into a paid subscription unless you cancel before the trial period expires.
  • The exact start date, expiration date, renewal date, and charge date will be shown in the checkout, confirmation email, user dashboard, or corresponding platform.
  • LAYSOC may limit, modify, or withdraw free trials at any time, without affecting rights already acquired by active users when required by applicable law.

7. Subscription, price, and recurring billing

The LAYSOC service may be purchased through a monthly, annual, or any other plan available at the time of purchase.

Unless expressly stated otherwise in the checkout or in an active promotion, the standard plan may have a price of $179 USD per month, plus taxes, fees, or applicable charges depending on the country, state, payment method, processor, or applicable regulations.

By purchasing a subscription, you agree that:

  • The price, currency, billing frequency, and conditions will be displayed before confirming the purchase.
  • The subscription will renew on a recurring basis according to the contracted period.
  • The charge will be made through the payment method provided in SamCart or the corresponding provider.
  • The user is responsible for maintaining a valid and up-to-date payment method.
  • Taxes, bank charges, currency conversion fees, or payment provider costs may vary depending on the user’s location and the institutions involved.
  • Charges may appear on the account statement under the name LAYSOC, SamCart, the payment processor, or a related descriptor.

LAYSOC reserves the right to update prices, plans, benefits, or commercial conditions. When a change affects an active subscription, it will be communicated through available means and in accordance with applicable law.

8. Payment processing through SamCart

Payment management, subscriptions, free trials, recurring billing, payment method updates, cancellations, or access may be handled through SamCart or other connected technology providers.

LAYSOC does not store full bank card details or security codes. Such data is processed by external payment platforms under their own terms, privacy policies, security standards, and operating conditions.

By using SamCart or another external platform, you also accept the applicable terms and policies of that platform.

9. Cancellations

You may cancel your subscription according to the options available in SamCart, in your user dashboard, or by requesting it from the LAYSOC team at contacto@laysoc.com.

To avoid renewal charges, cancellation must be completed before the next billing date. If you cancel after the charge has been processed, the subscription may remain active until the end of the paid period, unless applicable law or a specific policy states otherwise.

Upon cancellation:

  • Future renewals will stop according to the provider’s processing times.
  • Access may remain available until the end of the paid period.
  • You may lose access to reports, platform, downloads, history, or benefits associated with the subscription.
  • Cancellation does not automatically delete data that must be retained for legal, tax, accounting, contractual, or security obligations.

10. Refunds

Due to the digital, informational, and downloadable nature of LAYSOC content, subscription payments are non-refundable, unless an express guarantee, promotion, or different written policy applies, or when otherwise required by applicable law.

We may review refund requests in exceptional cases, such as:

  • Duplicate charges.
  • Verifiable technical billing error.
  • Charges made after a cancellation was correctly completed before the renewal date.
  • Situations required by consumer protection laws applicable in Mexico, the United States, or another competent jurisdiction.

To request a review, write to contacto@laysoc.com with the subject line “Charge review request”, including your name, subscription email, charge date, amount, and a description of the case.

11. Chargebacks and rejected payments

If a chargeback, bank dispute, rejected payment, or failed billing attempt occurs, LAYSOC may temporarily or permanently suspend access to the platform or related content until the situation is clarified.

The user agrees to contact LAYSOC first to resolve any question, error, or concern related to charges, subscription, or cancellation before initiating a bank dispute, unless applicable law provides otherwise.

12. Delivery of content and digital access

LAYSOC content may be delivered by email, platform, portal, download area, private links, PDFs, digital documents, or other electronic means.

Although we work to maintain availability and continuity, access may be affected by:

  • Technical maintenance.
  • Platform updates.
  • Failures of external providers.
  • User connection issues.
  • Email errors, spam filters, or incorrect information.
  • Force majeure events or circumstances beyond our control.

13. Permitted use

The user may use LAYSOC for internal, professional, strategic, educational, business, or personal analysis purposes, in accordance with the contracted plan.

Unless expressly authorized in writing, the user may not:

  • Resell, sublicense, mass copy, or redistribute reports.
  • Publish complete LAYSOC content on websites, social networks, courses, communities, newsletters, or external platforms.
  • Share access, passwords, private links, or materials with unauthorized third parties.
  • Use the content to create a competing or substantially similar product.
  • Remove authorship, brand, intellectual property, or confidentiality notices.
  • Extract, scrape, automate, or download content without authorization.
  • Use LAYSOC for illegal, misleading, discriminatory, fraudulent, or harmful activities.

14. Intellectual property

All LAYSOC content, reports, texts, prompts, analyses, methodologies, structures, designs, graphics, trademarks, logos, trade names, documents, knowledge bases, resources, and materials are owned by LAYSOC or their respective holders.

Payment of a subscription does not transfer any intellectual property rights to the user. It only grants a limited, revocable, non-exclusive, non-transferable license, conditioned upon compliance with these Terms, to access and use the content according to the contracted plan.

Any unauthorized use may result in suspension of the service and the exercise of corresponding legal actions.

15. Informational content and absence of professional advice

LAYSOC reports, signals, prompts, analyses, and materials are provided for informational, strategic, and educational purposes. They do not replace personalized professional advice.

LAYSOC does not provide legal, tax, accounting, financial, immigration, investment, medical, or regulated consulting services, unless expressly stated in writing through a separate agreement.

The user is responsible for evaluating the information, consulting specialists when necessary, and making decisions under their own judgment, context, risk, and responsibility.

16. Business results and decisions

LAYSOC does not guarantee specific results, sales increases, cost reductions, financial returns, commercial success, project approval, regulatory compliance, competitive advantages, or any particular outcome derived from the use of our content.

Decisions made based on LAYSOC reports, prompts, signals, or analyses are the sole responsibility of the user or the company using them.

17. Use of prompts, artificial intelligence, and digital tools

Some LAYSOC content may include prompts, AI structures, automation recommendations, digital tools, or analysis methodologies.

The user acknowledges that:

  • Prompts and tools are support resources, not mandatory instructions.
  • Outputs generated by artificial intelligence systems may be inaccurate, incomplete, or require human validation.
  • The user must review, adapt, and validate any AI-generated output before making decisions or publishing it.
  • LAYSOC does not control the policies, results, availability, or operation of external AI tools.

18. Platforms, links, and third-party services

LAYSOC may integrate with or link to third-party services, including SamCart, payment processors, email platforms, analytics tools, social networks, WhatsApp, automation systems, AI tools, or other providers.

LAYSOC does not control such external services and will not be responsible for changes, failures, conditions, policies, charges, restrictions, interruptions, or practices of third parties.

Use of external services is governed by their own terms, policies, and conditions.

19. Users in Mexico and the United States

LAYSOC is designed to serve users, business owners, entrepreneurs, and professionals who may be located in Mexico, the United States, or other jurisdictions.

If you access or purchase from Mexico, Mexican provisions on electronic commerce, consumer protection, privacy, contracts, and electronic means may apply.

If you access or purchase from the United States, federal or state provisions related to business practices, consumer protection, subscriptions, recurring payments, advertising, privacy, and digital commerce may apply.

Nothing in these Terms is intended to limit any non-waivable rights you may have under the consumer protection laws applicable in your jurisdiction.

20. Privacy and data protection

The processing of personal data is governed by our Privacy Notice, which forms an integral part of these Terms.

By using LAYSOC, you agree that your data will be processed in accordance with the current Privacy Notice, including the use of technology providers necessary to operate the service.

21. Suspension or termination of service

LAYSOC may suspend, limit, or terminate a user’s access when there is:

  • Breach of these Terms.
  • Misuse of content or credentials.
  • Non-payment or rejected payments.
  • Unjustified chargebacks or suspicious activity.
  • Security risk, fraud, or abuse.
  • Use that affects other users, providers, or LAYSOC operations.
  • Request by a competent authority or compliance with a legal obligation.

Suspension or termination does not release the user from pending obligations, including accrued payments, use restrictions, confidentiality, intellectual property, or responsibilities arising from prior use of the service.

22. Availability, maintenance, and changes

We work to keep LAYSOC available, updated, and functional. However, we do not guarantee that the website, platform, reports, links, integrations, or services will be available uninterrupted, error-free, or without technical failures.

We may perform maintenance, improvements, design changes, technical adjustments, content updates, feature modifications, or provider migrations when necessary.

23. Limitation of liability

To the maximum extent permitted by applicable law, LAYSOC will not be liable for indirect, incidental, special, punitive, consequential damages, loss of profits, loss of opportunities, loss of data, business interruption, or decisions made based on informational content.

If any liability of LAYSOC is determined, it will be limited, to the maximum extent permitted by applicable law, to the amount effectively paid by the user to LAYSOC during the last monthly subscription period prior to the event giving rise to the claim.

This limitation will not apply in cases where the law prohibits limiting liability.

24. Indemnification

The user agrees to hold LAYSOC, its representatives, collaborators, providers, and partners harmless from claims, damages, losses, costs, expenses, or liabilities arising from:

  • Misuse of the website, platform, or content.
  • Breach of these Terms.
  • Violation of third-party rights.
  • Unauthorized use of intellectual property.
  • False, incomplete, or unlawful information provided by the user.
  • Decisions made by the user based on informational content.

25. Electronic communications

By using LAYSOC, you agree to receive electronic communications related to your account, free trial, subscription, payments, access, support, updates, legal changes, security, and service operations.
